Terms of Service

1. The service

Crossdock is a Shopify-embedded application that synchronizes catalog, inventory, and order data between a merchant’s Square point-of-sale account and the merchant’s Shopify store. Square is treated as the source of truth for catalog structure — modifier lists, item variations, options, SKU assignment, and inventory counts originate in Square and propagate to Shopify on a per-mutation basis. At v1 the service ships Shopify-to-Square order direction (orders placed in Shopify create matching Square orders) and two-way inventory synchronization; Square-to-Shopify order direction is planned for v1.1.

2. Eligibility and acceptance

To use Crossdock the merchant must have an active Shopify store and a Square account (sandbox or production). Installation of Crossdock from the Shopify App Store constitutes acceptance of these Terms of Service and of the Privacy Policy, the Data Processing Addendum, the Cookie Disclosure, and the Subprocessor List referenced below. The merchant warrants that they have the authority to accept these terms on behalf of the legal entity operating the Shopify store.

3. Subscription and billing

Crossdock is offered on four listed plan tiers, named Free, Pro, Premium, and Scale, managed through Shopify’s billing API. The free tier provides foundational catalog and inventory synchronization. The paid tiers add order synchronization, modifier synchronization, and progressively higher product and order limits; on the Pro tier, modifier synchronization is limited to a fixed number of modifier sets. The Premium tier and above additionally include multi-location inventory synchronization, gift card synchronization, and priority support. In addition to the listed tiers, Crossdock may offer custom Enterprise plans whose product limits, order limits, and pricing are agreed individually; such plans are presented and accepted through the same Shopify billing approval flow as the listed tiers. Each paid tier includes a 14-day trial. Paid-feature access is enforced server-side by the planGuard middleware. Billing disputes are handled through the Shopify Partner Dashboard per Shopify’s standard chargeback and refund process; Crossdock does not issue refunds outside of that channel.

4. Acceptable use

The merchant agrees not to use Crossdock to (i) violate any applicable law or regulation, (ii) reverse-engineer, decompile, or otherwise attempt to extract the source code or trade secrets of the integration, (iii) resell or sublicense access to the service to any non-merchant third party, or (iv) generate abusive traffic patterns intended to overwhelm Crossdock’s APIs, Shopify’s APIs, or Square’s APIs. Crossdock reserves the right to throttle, suspend, or terminate access for merchants whose usage pattern indicates a violation of this section.

5. Merchant data ownership

The merchant retains full ownership of their merchant data — catalog content, inventory counts, order records, customer identifiers, and any other data the merchant transmits to Crossdock through the Shopify and Square integrations. Crossdock holds a limited, non-exclusive, non-transferable license to process that data solely to provide the synchronization service described in §1 and to support, audit, and improve the service as described in the Privacy Policy. The detailed data inventory, retention windows, subprocessor list, and data-subject-rights procedure are documented in the Privacy Policy and the Data Processing Addendum.

6. Intellectual property

Crossdock owns all right, title, and interest in the Crossdock integration software, the Crossdock brand, the Crossdock documentation, and any feedback or feature suggestions that the merchant voluntarily submits. Sunsetora LLC, a California limited liability company, is the legal entity that owns Crossdock and is the contracting party under these terms. Nothing in these terms transfers ownership of the merchant’s catalog, inventory, order, customer, or other merchant data — those remain merchant property at all times.

7. Disclaimer and limitation of liability

CROSSDOCK IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. To the maximum extent permitted by applicable law, Crossdock’s aggregate liability arising out of or related to these terms or the service shall not exceed the total fees the merchant paid to Crossdock during the twelve months immediately preceding the event giving rise to the claim. In no event shall Crossdock be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including without limitation loss of profits, loss of data, loss of goodwill, or business interruption, even if Crossdock has been advised of the possibility of such damages. Nothing in these terms excludes or limits either party’s liability for fraud, fraudulent misrepresentation, gross negligence, or willful misconduct, or any other liability that cannot lawfully be excluded or limited under applicable law. If any exclusion or limitation in this section is held unenforceable, it shall be reformed only to the minimum extent necessary to make it enforceable, and the remainder of this section shall continue in full force and effect.

8. Termination

The merchant may terminate these terms at any time by uninstalling Crossdock from the Shopify Admin. Uninstallation triggers Shopify’s standard 48-hour data-retention window after which Crossdock will receive the shop/redact GDPR webhook and irreversibly delete all shop-scoped data per the cascade described in the Privacy Policy. Crossdock may terminate these terms upon thirty days written notice for material breach of these terms, or immediately for non-payment of fees, abusive use of the service, or activity that endangers the security or integrity of Crossdock, Shopify, Square, or other merchants on the platform. Sections 5, 6, 7, 9, and 10 survive termination.

9. Governing law and dispute resolution

These terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws principles. The merchant and Crossdock agree to attempt informal resolution of any dispute by sending written notice to the contact address listed in the Privacy Policy footer and giving the other party thirty days to respond. If informal resolution fails, any remaining dispute shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in San Francisco, California. The merchant and Crossdock each waive any right to participate in a class action, collective action, or representative action against the other arising out of or related to these terms or the service. Nothing in this section waives, or shall be construed to waive, either party’s right to seek public injunctive relief; any claim for public injunctive relief may be brought only in a court of competent jurisdiction seated in San Francisco, California, and shall be stayed pending completion of arbitration of the parties’ arbitrable claims. In no event will any claim be arbitrated on a class, collective, or representative basis; and if the class, collective, and representative-action waiver in this section is held unenforceable as to any claim, that claim alone shall be severed and resolved in a court of competent jurisdiction seated in San Francisco, California, while all remaining claims shall be resolved in binding individual arbitration as provided above.

10. Changes to these terms

Crossdock may amend these terms from time to time. Material amendments will be notified to the merchant at least thirty days before they take effect through a banner in the embedded admin and, where the merchant has a shop-owner or notification email address on file, by email to that address. Continued use of the service after the effective date constitutes acceptance of the amended terms. The current effective version of the terms is always the version published at /legal/terms.

Affirmative acceptance

By installing Crossdock from the Shopify App Store and using the service, you agree to these Terms of Service.
